We’re looking for a Legal Counsel, in Portugal, to join us on our mission to solve chaos in international real estate markets.

Your role:

As CASAFARI’s in-house Legal Counsel, you will be responsible for providing business-oriented legal guidance and support to the Company’s operations and transactions.
In this role, you will be the main point of contact for all legal aspects of the Company, support the dynamic start-up environment, work with external counsel to provide advice and assess risks across various jurisdictions (Portugal, Spain, France, Italy, Germany, and the UK), and be responsible for all in-house legal units, including: investor relations (VC & funding), commercial matters, GDPR and IP-related topics and standard regulatory compliance across the various jurisdictions.

VC, Funding & M&A:

  • Lead and manage (along with C-level and External Counsel) all legal aspects of fundraising matters (including future financing rounds, execution of current terms of the SHA, Convertible Loan Notes, etc.).
  • Serve as the primary legal contact for current/potential investors, external counsel, and investors' counsel, and assist in the negotiation, review, and drafting of all necessary corporate documents, including articles of association, shareholders’ agreement (SHA), subscription agreement, convertible loan notes, resolutions, and any post-closing documents. Conduct and prepare legal DDs (organizing the Data Room, providing subsequent clarifications, etc.).
  • Ensure corporate governance compliance within the different entities across the group (mostly focused in the UK), including drafting board meeting agendas, subsequent minutes, necessary approvals/consent docs. as per the SHA in place, VSO plans, cap tables, written/board resolutions, and any and all ancillary documents.
  • Ensure proper registration and maintenance of corporate registers with public entities (UK: Companies House, PT: Registo Comercial).
  • Address ad-hoc investor inquiries and concerns.
  • Provide support in discussions on legal and strategic issues with investors, auditors, and board members.
  • Provide support for potential M&A activities.

Commercial / Contractual:

  • Provide legal support, advice, and guidance primarily within the area of SaaS, focusing on drafting, reviewing, improving, and amending the Company’s contracts (order forms, T&C, service agreements, referral/franchising agreements, NDAs, and other standard commercial contracts) to be entered into with clients, partners, and providers.
  • Negotiate key clauses of contracts with clients or clients’ counsel, guaranteeing the Company’s interests.
  • Support the client-facing teams with escalated customer complaints.
  • Review and suggest improvements to the current end-to-end contract management process (contract review process, signing, storage) to support sales and business development teams from a legal standpoint.
  • Continuously improve the Company’s T&C and other commercial contracts to help scale-up commercial transactions and deliver growth, making any necessary changes aligned with standard B2B regulations.
  • Guarantee clients are compliant with T&C, including (if necessary) assisting with the debt collection process (supported by the Billing Team).
  • Ensure the current internal database with all contracts, model answers, templates, etc. is up-to-date and easily accessible by all.

Data Protection Regulations & IP:

  • In coordination with External Counsel, take full responsibility for GDPR compliance: monitoring personal data treatment across the Company (clients, partners, providers, employees), guaranteeing all necessary processes and consents are in place per GDPR regulations. Assist the Product team in any compliance-related topics. Guarantee that all necessary documents (privacy policy, DPA, subscription agreement, etc.) are updated and in place.
  • Intellectual Property: Monitor the Company’s current IP and be responsible for applying for any necessary EU and national trademarks.

General Legal Counsel, Regulatory & Compliance:

  • Collaborate with cross-functional teams, providing legal support to Finance, Payroll, and People teams in their day-to-day work and across the different functions of the Company, including commercial, corporate, employment, inter-company compliance, and all laws relevant to the SaaS industry.
  • Manage the Company’s litigation/disputes portfolio and align strategy between internal C-level and External Counsel.
  • Monitor new changes in laws and regulations and analyze risks or business exposure/opportunities that could impact the Company across different jurisdictions.

We are looking for:

  • 4+ years in a law firm and/or in-house legal counsel (in a SaaS start-up environment is a plus).
  • Bachelor/Masters degree in Law, Business or similar.
  • Native Portuguese and fluent in English.
  • Excellent research & legal drafting skills.
  • Good communication, and interpersonal skills.
  • Analytical and problem-solving abilities.
  • Ability to work independently/with little supervision and as part of a team.
  • Ability to multitask, work and focus under pressure.
  • Curiosity, strong growth mindset, ability to learn fast.
  • Comfortable working in a fast-paced, start-up environment.
